Arenberg Auctions SA est une personne morale soumise au droit belge et agit uniquement comme intermédiaire pour la vente d’objets de seconde main et non comme acquéreur ou vendeur. Les conditions générales de vente de Arenberg Auctions reprises ci-dessous, s’appliquent aussi bien pour les ventes en présentiel que pour les ventes organisées par l’entremise des plateformes en ligne. Par son enchère (en présentiel, par ordre d’achat, téléphone ou plateforme), le candidat acquéreur souscrit aux conditions générales de vente. L’acquéreur d’un lot est considéré comme le destinataire final, même s’il agit pour le compte d’un tiers. L’acquéreur est tenu de communiquer à Arenberg Auctions son identité et de fournir à la salle de vente une copie de sa carte d’identité ou de son passeport.

Description des lots

Les descriptifs et les estimations sont établis par les experts de Arenberg Auctions à titre purement indicatif et tiennent compte des informations délivrées par les déposants. Les candidats acquéreurs sont censés avoir examiné les lots avant la vente et de s’être suffisamment informé. Les lots sont vendus dans l’état au moment de la vente Les éventuelles descriptions erronées du catalogue (online ou imprimées) ne donnent pas droit à l’annulation de la vente. Tout candidat acquéreur reconnait qu’il n’y a pas de droit de recours. L’exposition permet aux acquéreurs de se rendre compte de l’état, des restaurations et défauts éventuels des lots mis en vente. Les lots composés de deux ou plusieurs ouvrages, les séries, les périodiques ou les ouvrages avec la mention « nc » (non collationné) ou « sold w.a.f » (sold with all faults) ne sont pas collationnés. Ces lots ne seront en aucun cas repris. Les objets encadrés ne sont pas étudiés en dehors de leur encadrement et l’état de l’encadrement n’est pas décrit. L’état des lots joints n’est pas décrit. Les éventuelles réclamations relatives aux marchandises doivent nous parvenir au plus tard sept jours après la réception des pièces. Aucune réclamation ne sera acceptée quatre semaines après la vente.

Déroulement de la vente

L’ordre de la vente sera suivi. Les enchères commencent à plus ou moins 80% de l’estimation basse. Les enchères montent par tranches d’environ 10%. En cas d’offres équivalentes, la priorité sera toujours donnée à la première offre arrivée ainsi qu’à l’acquéreur présent en salle. Les offres écrites (papier ou e-mail) inférieures ou égales à 50% de l’estimation basse ne seront pas prises en considération. Durant ou après la vente, Arenberg Auctions ne sera en aucun cas tenu responsable des dysfonctionnements du téléphone, d’internet et des plateformes. L’adjudication se fait au plus offrant et les dysfonctionnements précités ne pourront en aucun cas être invoqués après la clôture des enchères. L’huissier de justice tranchera souverainement tout litige pouvant survenir durant la vente publique. Il se réserve également le droit de faire recrier un lot en cas de contestation. Arenberg Auctions se réserve le droit de refuser toute enchère et de réunir ou retirer de la vente un ou plusieurs lots sans avoir à justifier sa décision.

Frais de l’acheteur

Les frais de ventes sont de 28% en sus du prix d’adjudication, TVA sur la marge incluse. Pour les achats effectués via Drouot Live et Invaluable les frais sont fixés à 30% tout compris. Pour les ventes aux enchères « uniquement en ligne », la commission totale est de 30%. Un droit de suite sera appliqué sur les œuvres d’artistes vivants ou décédés il y a moins de 70 ans. Ce droit de suite est intégralement à charge de l’acquéreur et vient en sus des commissions dues. Le droit de suite est du pour toutes les enchères égales ou supérieures à 2.000 €. Le taux du droit de suite s’établit par tranches et se calcule de la manière suivante.

  1. 2.000€ à 50.000€ : 4%.
  2. 50.000€ à 200.000€ : 3%
  3. 200.000€ à 350.000€ : 1%

Paiement par l’acquéreur

L’ensemble des sommes dues devra être payé au plus tard dans les deux semaines qui suivent la réception de la facture. Les lots ne seront remis à l’acquéreur qu’après le paiement complet des sommes dues. Les paiements seront effectués, soit en espèces (maximum 3.000 €), soit par Bancontact, soit par carte de crédit, soit par virement sur le compte bancaire numéro BE49 0017 8987 0571 (BIC/SWIFT GEBABEBB). Les frais de banque, en ce compris les frais liés aux chèques, sont à charge de l’acquéreur. En cas de non-paiement, les sommes dues seront majorées d’un intérêt de 12% par an après mise en demeure. Un mois après la mise en demeure, Arenberg Auctions se réserve le droit d’aliéner ou de remettre en vente les lots aux frais de l’acquéreur défaillant. L’ensemble des frais dus à Arenberg Auctions sera retenu sur le prix de vente. En ce qui concerne la TVA, Arenberg Auctions est soumis au régime particulier de la marge. Les ventes faites aux ressortissants de l’Union Européenne sont également soumises à ce régime. Il n’y a dès lors pas de TVA déductible pour les professionnels. Seuls les lots achetés et sortis de l’Union Européenne (avec une preuve de dédouanement) ont une TVA déductible.

Retraits et expéditions des lots

Après le paiement complet des sommes dues, l’acquéreur pourra retirer ses lots pendant la vente ou durant la semaine qui suit la vente à partir du mardi. L’acquéreur est tenu de retirer ses achats soigneusement à ses frais et à ses risques. L’acquéreur est responsable de ses collaborateurs et intermédiaires qu’il aura désigné pour le retrait de ses lots. Les lots peuvent également être expédiés après paiement complet du relevé d’achat majoré des frais d’emballage éventuels, d’assurance et d’expédition. L’emballage et l’expédition ont lieu sous l’entière responsabilité de l’acquéreur. La salle de vente n’est en aucun cas responsable des carences ou dégâts occasionnés par les firmes de transport. Les œuvres encadrées seront désencadrées pour l’expédition, sauf convention contraire. Certains biens culturels sont soumis à des restrictions à l’exportation et il est donc possible que ces biens ne soient pas autorisés à quitter le territoire concerné. Toutefois, l’acheteur reste propriétaire des biens achetés jusqu’à ce qu’il soit parvenu à un accord avec les autorités concernées. Ce fait ne peut donner lieu à une demande de dommages moraux de la part de l’acheteur à l’encontre de la maison de vente aux enchères. L’acquéreur est présumé connaitre ces dispositions et est tenu de supporter les frais découlant de cette situation. Les lots qui n’auront pas été enlevés dans les trente jours qui suivent la vente pourront être stockés, enlevés ou revendus à charge de l’acquéreur défaillant.

Assurances et transfert des risques

Le transfert des titres de propriété entre le vendeur et l’acquéreur, ainsi que les risques y afférent, se fait au moment de l’adjudication.

Mise en application des lois relatives à la vie privée, au blanchiment, et au financement du terrorisme

La loi belge du 15/08/2020 relative à la prévention des opérations de blanchiment et/ou du financement d’activités terroristes oblige tous les acteurs du marché de l’art et des antiquités, y compris les salles de vente, à demander et à enregistrer l’identité de toutes les parties belges et étrangères concernées par l’achat d’un lot d’une valeur de 10.000 euros ou plus. La remise des lots à l’acquéreur ne pourra avoir lieu qu’après la remise des pièces d’identité demandées. Pour les sociétés, les statuts ou l’identité du bénéficiaire final doivent également être fournies. Arenberg Auctions traite les données personnelles fournies conformément à la législation RGPD. En cas de litige seuls les tribunaux de Bruxelles sont compétents.

General terms

Arenberg Auctions NV is a legal entity under Belgian law and acts solely as intermediary for sales of second-hand objects and not as buyer or seller. Arenberg Auctions’ general sales conditions below shall apply to live as well as online only auctions and all the auctions organised via online platforms. By bidding (in person, by written purchase order, over the phone or via the platforms) the (potential) buyer acknowledges to accept the general sales conditions. The buyer of a lot is deemed the final consignee, even if they act on account of a third party. The buyer shall inform Arenberg Auctions of their identity and data, and provide a copy of their identity card or passport.

Descriptions of the lots

The descriptions and estimates provided by Arenberg Auctions’ experts are solely for informative purposes and take into account the data furnished to Arenberg Auctions by the depositors. Buyers shall be deemed to have examined the goods prior to the auction and to have informed themselves sufficiently. The goods will be sold in their current condition at the time of the auction. Incorrect information in the (online or printed) catalogue shall not entail the annulment of the purchase. Each buyer acknowledges to be aware that there is no right of recourse. During viewing days the buyers may verify the state, any restorations and defects of the lots offered for auction. Lots consisting of two or more works, series, periodicals or works marked “nc” (not collated) and “sold w.a.f.” (sold with all faults) are not collated. Those lots are sold as is and shall under no circumstances be taken back. Framed items are not studied outside the frame and the condition of the frame is not described. The condition of joined items is not described. Any complaints about the goods must be notified to Arenberg Auctions within seven days after receipt thereof. No complaint shall be accepted more than four weeks after the date of the auction.

Auction procedure

The numerical order of the catalogue will be followed. Bidding begins at about 80% of the low estimate. Bidding advances in increments of about 10%. In case of equal bids, the bidder who is present in the room shall be prioritised and then the purchase order first received and registered.

Written bids (on paper or per e-mail) of 50% or less of the lowest estimate shall not be taken into account. Arenberg Auctions shall not be held responsible during or after the auction for any malfunction of phones, internet or platforms. The lot is assigned to the highest bidder and the above-mentioned malfunctions may no longer be invoked once the auction is closed. Only the bailiff shall be competent to settle any dispute arising during the public sale. He/she also reserves the right to call up the lot again in case of dispute. Arenberg Auctions reserves the right to refuse any bid and to combine or remove one or more lots from the sale without having to justify its decision.

Costs borne by the buyer

Buyers shall pay in Euro 28% on top of the hammer price, including VAT on the margin. For purchases via external platforms (Drouot Live, Invaluable or others) the commission will be 30% on top of the hammer price, including VAT. For online only auctions the total commission will be 30%. Royalties are mandatory for works of living artists or those who passed away less than 70 years ago and shall be borne by the buyer. These royalties amount to 4% of the hammer price on any bids equal to or higher than € 2,000. The royalty percentages shall be determined in tranches and calculated as follows:

  1. € 2,000 to € 50,000: 4%
  2. € 50,000 to € 200,000: 3%
  3. € 200,000 to € 350,000: 1%

Payment by the buyer

The total amount owed shall be due at the latest a fortnight after receipt of the invoice. The goods will be transferred to the buyer only after payment in full of the amounts owed. We accept the following payment methods: cash for a maximum amount of € 3,000, by Bancontact or credit card, or by transfer to account number BE49 0017 8987 0571 (BIC/SWIFT: GEBABEBB). Bank- and collection fees, i.a. for foreign checks, shall be borne by the buyer. In case of non-payment or late payment, the amount owed will be increased by a 12 % interest rate per year after the buyer has been notified thereof. Arenberg Auctions shall reserve the right to dispose of the goods or auction them again one month after notification at defaulting buyer’s cost. Any costs and expenses owed to Arenberg Auctions shall be deducted from the sales price.

As to VAT, Arenberg Auctions is subject to the special VAT margin scheme. This regulation also applies to sales to EU nationals. Therefore, VAT is also non-deductible for professionals. VAT can be deducted only for lots leaving the European Union upon proof of customs clearance.

Collection and shipping of lots

After payment in full of the amounts owed, buyers may collect their lots during the auction or as of Tuesday of the week after the auction. Buyers shall collect their purchases diligently and at their own cost and risk. The buyer shall be liable for the intermediaries appointed by him to collect his purchases. Lots can be shipped after payment in full of the invoice, increased by any packaging, insurance and shipping costs. The buyer shall be fully liable for packaging and shipping the goods purchased. The auction house shall under no circumstances be liable for any defect or damage caused by shipping companies. Framed works will be shipped without frames, unless otherwise agreed. Certain goods are subject to export restrictions. Certain cultural goods are subjected to export restrictions. Consequently, the possibility can arise that certain goods can’t leave their corresponding cultural communities. However, the buyer retains ownership until a settlement is found with the relevant cultural community. This cannot lead to a claim of moral damages on the part of the buyer towards the auction house. The buyer is deemed to be sufficiently informed of these regulations and shall bear any costs arising therefrom. Lots not collected within 30 days after the sale shall be stored, removed or resold at the expense of the defaulting buyer.

Insurance and risk transfer

The transfer of title and all related risks, i.a. regarding the insurance of the goods, shall occur at the very moment of the allocation, when the object passes from seller to buyer by means of auction.

Application of the laws on money laundering, financing of terrorism and privacy

The Belgian law of 15 August 2020 laying down miscellaneous provisions on the prevention of money laundering and/or terrorist financing and on the limitation of the use of cash obliges all actors of the art and antiques market, including auction houses, to obtain and register the identity of all Belgian and foreign buyers of a lot with a value of € 10,000 or more. Delivery of lots to buyers and payment to depositors shall only take place after the parties concerned provided the requested identification papers. Companies shall disclose the articles or the identity of the final recipient. Arenberg Auctions shall use any personal data provided only for internal purposes and process them in accordance with the Law for the Protection of Personal Data (DPR). For any dispute arising hereunder only the courts of Brussels shall have competence.
